Cheniere Energy Inc. announced today that the Company intends to offer 4.3 million shares of common stock to the public under the Company's currently effective shelf registration statement.

J.P. Morgan Securities Inc. will serve as the sole bookrunning manager for the proposed offering. The joint lead managers are J.P. Morgan Securities Inc., Merrill Lynch, Pierce Fenner & Smith Incorporated and Petrie Parkman & Co. Inc. Pritchard Capital Partners LLC is a co-manager.

The underwriters will be granted an option to purchase an additional 645,000 shares of the Company's common stock to cover over-allotments.

A preliminary prospectus supplement and accompanying base prospectus related to the proposed offering have been filed with the Securities and Exchange Commission.
